End-User License Agreement

Last updated October 2026

This End-User License Agreement (“EULA”) is a legal agreement between you (and the organization you represent, “you”) and ReconAIQ LLC, a Florida limited liability company (“ReconAIQ”, “we”, “us”), for your use of the ReconAIQ software and related services (the “Software”). By creating an account, connecting an accounting system, or otherwise using the Software, you agree to this EULA. If you do not agree, do not use the Software.

1. License grant

Subject to this EULA and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software during your subscription term, solely for your organization's own internal business purposes. The Software is licensed, not sold. We reserve all rights not expressly granted.

2. Restrictions

You agree not to, and not to allow anyone else to:

  • Copy, modify or create derivative works of the Software, except as its features allow.
  • Reverse engineer, decompile or attempt to extract the source code of the Software, except where applicable law permits it despite this restriction.
  • Sell, rent, lease, sublicense or provide the Software to anyone outside your organization, or use it to build a competing product.
  • Circumvent security or access controls, or probe, scan or test the Software's vulnerabilities without our written permission.
  • Use the Software unlawfully, to process data you do not have the right to process, or in a way that infringes anyone's rights.
  • Use the Software in a way that places an unreasonable load on it or interferes with other customers.

3. Accounts and connected services

You are responsible for the accuracy of the information you provide, for keeping your login credentials secure, and for all activity under your account, including the people you invite. The Software connects to third-party services you choose, such as Gmail, Microsoft Outlook, Acumatica and QuickBooks Online. You confirm that you are authorized to connect them, and your use of those services remains subject to their own terms. We are not responsible for third-party services, their availability, or changes to their interfaces. You can disconnect an integration at any time.

4. Your data

You keep all rights in the data you submit to or process through the Software (“Your Data”), including data read from your connected accounting system. You grant us a limited license to host, process and transmit Your Data only as needed to provide and support the Software for you, as described in our Privacy Policy. We do not sell Your Data.

5. AI-assisted features

The Software uses automated tools, including artificial intelligence, to read documents and suggest data, coding and matches. These outputs can be wrong or incomplete. You are responsible for reviewing and approving anything before it is sent to your accounting system or relied on, including any bill, sales order or payment. Final accounting, tax and payment decisions are yours.

6. Fees

Fees, billing periods and payment terms are as described at sign-up or in your order form. Fees are non-refundable except where required by law or as we agree in writing. You are responsible for applicable taxes. We may change fees prospectively with reasonable notice, and changes will not apply to a period you have already paid for.

7. Ownership

The Software, including its code, design and documentation, and all improvements to it, are owned by ReconAIQ and protected by intellectual property laws. If you give us feedback or suggestions, you grant us a free, perpetual license to use them to improve the Software.

8. Support and updates

We may provide support and update the Software from time to time. We may add, change or remove features, and we will aim to give reasonable notice of changes that materially reduce core functionality.

9. Term and termination

This EULA applies for as long as you use the Software. You may stop at any time by cancelling your subscription. We may suspend or end your access if you breach this EULA, fail to pay, or use the Software in a way that risks harm to us or others. When access ends, your license ends and you must stop using the Software. We will make Your Data available for export for a reasonable period and then delete it as described in our Privacy Policy. Sections that by their nature should survive (such as ownership, disclaimers, liability limits and governing law) will survive.

10. Disclaimer of warranties

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ITS OUTPUT WILL BE ACCURATE.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, RECONAIQ WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR DATA. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SOFTWARE OR THIS EULA WILL NOT EXCEED THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO THESE MAY NOT FULLY APPLY TO YOU.

12. Indemnity

You will defend and indemnify us against third-party claims arising from Your Data, or from your use of the Software in breach of this EULA or applicable law.

13. Governing law

This EULA is governed by the laws of the State of Florida, without regard to conflict of law principles. Any dispute will be brought in the state or federal courts located in Florida.

14. General

This EULA, together with our Terms of Service, Privacy Policy and any order form, is the entire agreement about the Software and replaces earlier discussions. If any part is unenforceable, the rest remains in effect. You may not assign this EULA without our consent; we may assign it in connection with a merger or sale. We may update this EULA from time to time and will update the “Last updated” date above; continued use means you accept the changes.
